Terms & Conditions

Welcome to PHYNIX Corporate Merchandise ("PHYNIX", "we", "our", or "us").

These Terms & Conditions govern all quotations, orders, sales, supply of products and services provided by PHYNIX Corporate Merchandise.

By accepting a quotation, paying a deposit, placing an order, approving artwork, or engaging PHYNIX Corporate Merchandise for products or services, the client ("Customer", "you", or "your") acknowledges that they have read, understood and agreed to these Terms & Conditions.

1. Quotations

1.1

All quotations are valid for thirty (30) days from the date of issue unless otherwise stated in writing.

1.2

All prices are quoted in Australian Dollars (AUD) and exclude Goods and Services Tax (GST) unless otherwise stated. GST will be applied at the applicable Australian rate.

1.3

Quoted prices are based on the quantities, product specifications, decoration requirements, artwork and delivery details provided at the time of quotation.

1.4

Product prices, freight charges, decoration costs and supplier costs may change prior to acceptance of the quotation.

1.5

All quotations and orders are subject to product availability at the time the order is confirmed.

Where products become unavailable, PHYNIX reserves the right to offer suitable alternatives or revise the quotation accordingly.

2. Orders

2.1

No order will be released into production until all required order documentation, product specifications, artwork proofs, visuals and approvals have been reviewed and approved by the Customer.

2.2

Production will only commence once:

- Written approval has been received;

- Required deposit payment has been received; and

- All required information has been provided.

2.3

PHYNIX reserves the right to refuse or delay production where required information, approvals or payments have not been received.

3. Payment Terms

3.1

Unless otherwise agreed in writing, a deposit of fifty percent (50%) of the total invoice value is required before production commences.

3.2

The remaining balance is payable no later than two (2) business days prior to scheduled dispatch or delivery.

3.3

Products remain the property of PHYNIX Corporate Merchandise until full payment has been received.

3.4

Payments may be made by:

- Bank Transfer (Electronic Funds Transfer)

- Credit Card

3.5

Payments made by credit card attract a 3.9% processing surcharge.

3.6

Orders may be delayed where payment is not received by the required due dates.

4. Artwork Requirements

4.1

Customers are responsible for supplying accurate and suitable artwork for production.

Preferred artwork formats include:

- Editable PDF

- EPS

- AI

4.2

Artwork supplied in JPG, PNG, screenshots, photographs or other non-vector formats may require professional redraw or recreation.

4.3

Artwork redraw, modification or recreation services may incur additional charges.

4.4

Artwork created by PHYNIX remains the property of PHYNIX until all associated costs have been paid in full.

5. Artwork Approval

5.1

Before production begins, PHYNIX will provide artwork proofs, visuals or production layouts where applicable.

These may include:

- Logo placement

- Decoration method

- Product finish

- Colours

- Layout

- Specifications

5.2

Production will commence only after written approval has been received from the Customer.

5.3

Once artwork approval has been provided, the Customer accepts responsibility for all approved details, including:

- Spelling;

- Colours;

- Positioning;

- Dimensions;

- Product specifications; and

- Other information contained within the approved artwork.

6. Changes After Approval & Production

6.1

Any Customer-requested changes after artwork approval or commencement of production may incur additional charges.

These may include:

- Artwork amendments;

- Setup charges;

- Production costs;

- Additional freight;

- Administrative costs.

6.2

All additional costs resulting from Customer-requested changes will be payable by the Customer.

6.3

Any approved changes may result in a revised production schedule and delivery date.

7. Cancellation of Orders

7.1

Due to the customised nature of branded merchandise, orders cannot be cancelled once production has commenced unless agreed in writing by PHYNIX.

7.2

Any costs incurred prior to cancellation, including artwork, setup, production, freight or supplier charges, remain payable by the Customer.

8. Samples

8.1

Product samples may be supplied upon request.

8.2

Sample charges, decoration costs and freight charges will be quoted separately.

8.3

Sample costs may be credited against a production order where applicable and at PHYNIX's discretion.

9. Colours & Product Variations

9.1

Every effort is made to reproduce product and decoration colours accurately.

9.2

Due to manufacturing processes, materials, decoration methods and screen display settings, minor variations may occur.

9.3

Minor variations in:

- Colour;

- Product dimensions;

- Decoration placement;

- Stitching;

- Finish; or

- Manufacturing tolerances

shall not be considered defects.

10. Garment Sizes

10.1

Customers are responsible for selecting garment sizes.

10.2

Size charts provided are guides only.

10.3

PHYNIX accepts no responsibility for incorrectly selected garment sizes after production has commenced.

11. Production & Delivery

11.1

Delivery and production timeframes vary depending on:

- Product availability;

- Decoration method;

- Artwork approval;

- Supplier production schedules;

- Freight services.

11.2

Estimated delivery dates provided by PHYNIX are estimates only and are not guaranteed.

11.3

Where an order includes multiple products, suppliers or decoration methods, PHYNIX may arrange split deliveries to ensure products are supplied as efficiently as possible.

11.4

PHYNIX may request production images, samples or quality checks from suppliers prior to dispatch where required.

12. Freight

12.1

Freight and delivery charges are payable by the Customer unless otherwise agreed in writing.

12.2

Risk in the goods passes to the Customer upon delivery to the nominated delivery address or collection by the freight carrier.

12.3

Customers must inspect goods upon delivery and notify PHYNIX of any issues within the required timeframe.

13. Returns, Exchanges & Refunds

13.1

Due to the customised nature of branded merchandise, all sales are final.

13.2

PHYNIX does not accept returns, exchanges or refunds for:

- Change of mind;

- Incorrect product selection;

- Incorrect colour selection;

- Incorrect garment sizes;

- Customer-approved artwork errors.

13.3

Products will only be replaced, repaired or refunded where they are proven to be defective or do not substantially conform to the approved specifications.

13.4

Claims must be submitted in writing within seven (7) days of delivery and include supporting information and photographs.

13.5

Nothing in these Terms excludes the Customer's rights under Australian Consumer Law.

14. Intellectual Property

14.1

Customers warrant that they own or have obtained all necessary permissions to use any logos, trademarks, artwork, designs or intellectual property supplied to PHYNIX.

14.2

The Customer indemnifies PHYNIX against any claim arising from unauthorised use of supplied intellectual property.

14.3

Logos and trademarks displayed by PHYNIX are used only to demonstrate decoration capabilities and do not imply endorsement or affiliation.

15. Limitation of Liability

15.

To the maximum extent permitted by Australian law, PHYNIX shall not be liable for indirect, incidental, consequential or economic losses arising from the supply or use of products.

15.2

PHYNIX's liability is limited to the replacement, repair or refund of defective goods, at PHYNIX's discretion.

16. Force Majeure

PHYNIX shall not be liable for delays or failure to perform obligations due to circumstances beyond our reasonable control, including:

- Supplier delays;

- Stock shortages;

- Freight interruptions;

- Natural disasters;

- Industrial action;

- Government actions;

- Transport disruptions; or

- Other unforeseen events.

17. Governing Law

These Terms & Conditions are governed by the laws of Queensland, Australia.

Any dispute arising from these Terms shall be subject to the jurisdiction of the courts of Queensland, Australia.

18. Acceptance

By accepting a quotation, paying a deposit, placing an order or engaging PHYNIX Corporate Merchandise for products or services, the Customer acknowledges that they have read, understood and agreed to these Terms & Conditions.
